These Terms of Service govern the use of this website and the purchase of products from Shenzhen Kensing Electronic Co., Ltd. ("Kensing", "we", "us"). By using this website or placing an order, you agree to these terms. Specific orders are additionally governed by the Proforma Invoice (PI) signed by both parties.

1. Business-to-Business Sales

• This website serves business buyers (importers, distributors, wholesalers, retailers, e-commerce sellers, brands, and end-business purchasers).
• Standard MOQ is 1,000 pcs per model unless otherwise agreed in writing.
• Prices shown are factory wholesale reference ranges; the final quotation is confirmed per order based on quantity, customization and delivery schedule.

2. Quotations & Orders

• Quotations are valid for 30 days unless stated otherwise.
• An order is confirmed upon our written order confirmation and receipt of the agreed deposit (typically 30%; balance before shipment).
• Customized/OEM orders require sample approval before mass production.

3. Production & Delivery

• Typical lead time is 15–30 days after deposit and sample approval, depending on quantity and season; stock models may ship sooner.
• Delivery terms (EXW/FOB/CIF/DAP and courier/air/sea) as confirmed in the PI. Risk transfers per the agreed Incoterm.
• We are not liable for delays caused by force majeure (natural disasters, pandemics, port closures, government actions).

4. Intellectual Property & OEM

• Buyers warrant that logos and designs provided for OEM production do not infringe third-party rights.
• All product designs, molds and tooling developed by Kensing remain the property of Kensing unless otherwise agreed in writing.
• Kensing™ and product trademarks remain the property of their respective owners.

5. Product Use & Compliance

• Products are supplied with CE, FCC and RoHS certifications as applicable; buyers are responsible for ensuring compliance with import and regulatory requirements in their own market.
• Kensing is not liable for damages arising from misuse, unauthorized modification or improper installation of products.

6. Limitation of Liability

• Our liability for any claim is limited to the value of the affected order.
• We are not liable for indirect or consequential losses (loss of profit, business interruption) to the maximum extent permitted by law.

7. Governing Law & Disputes

• These terms are governed by the laws of the People's Republic of China.
• Disputes shall first be resolved through friendly negotiation; failing that, they shall be submitted to arbitration/courts in Shenzhen, China.

We may update these terms from time to time. The version in effect at the time of your order confirmation applies to that order.
